These terms apply to the ForgeIL website and to any service engagement between ForgeIL and a client. Project-specific terms may be established in separate proposals or agreements, which take precedence over these general terms where they conflict.
ForgeIL designs, builds, deploys, and operates autonomous AI agents for businesses. Our services include but are not limited to:

Payment terms are specified in each project proposal. Generally:
All prices are in USD unless otherwise stated. ForgeIL reserves the right to adjust recurring pricing with 30 days written notice.
Upon full payment, clients own the specific outputs and deliverables produced for them (agent configurations, copy, integrations specific to their business).
ForgeIL retains ownership of its underlying methodologies, frameworks, tools, reusable components, and proprietary processes used to build and operate agents. Nothing in a client engagement transfers rights to ForgeIL's internal systems or intellectual property.
Clients grant ForgeIL permission to reference the engagement as a case study or portfolio item unless explicitly agreed otherwise in writing before the project begins.
ForgeIL treats all client business information as confidential and will not disclose it to third parties without consent, except as required by law or to subcontractors directly involved in delivering the service under equivalent confidentiality obligations.
Clients agree to keep proprietary details of ForgeIL's processes, pricing structures, and internal tools confidential.
ForgeIL commits to delivering services with professional skill and care. We do not guarantee specific business outcomes such as a defined number of leads, revenue, or conversion rates, as these depend on many factors outside our control, including market conditions, client follow-through, and data quality.
AI agents involve inherent limitations. Outputs may occasionally be imperfect or require human review. ForgeIL is not liable for decisions made by a client based solely on AI agent output.
To the maximum extent permitted by applicable law, ForgeIL's total liability for any claim arising from a service engagement is limited to the amount paid by the client for the specific service giving rise to the claim in the three months preceding the incident.
ForgeIL is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages.
Plain language version: We do great work and stand behind it. If something goes wrong on our end, we'll fix it. We can't guarantee business results because those depend on your market and your team too. Our liability is capped at what you paid us.
Either party may terminate a service engagement with 30 days written notice, unless a different notice period is stated in the project proposal. Upon termination, ForgeIL will hand over all client-owned assets and data within 14 days.
ForgeIL may terminate immediately if a client engages in fraudulent, abusive, or illegal conduct, or fails to pay after reasonable notice.
These terms are governed by the laws of the State of Israel, including the Contracts (General Part) Law, 5733-1973 and the Consumer Protection Law, 5741-1981 where applicable. Any dispute arising from these terms or a service engagement shall be subject to the exclusive jurisdiction of the courts of Tel Aviv-Yafo, Israel.
For clients located in the EU or EEA, mandatory consumer protection rights under your local law are not affected by this choice of jurisdiction.
We may update these terms from time to time. Continued use of the site or our services after changes are posted constitutes acceptance of the updated terms. For active service engagements, material changes to terms will be communicated directly.
